So, the men in black, ostensibly working for tatibana general labs. I think they don't exist. In Layer 02, she sees 'Karl', standing awkwardly in the street, get's worried/upset, runs off. I think the 'men in black' are actually another of lain's hallucinations.
Perhaps that initial 'Karl' is a hallucination, too.
